1. Definitions §1

WENS means Wens Shipping and Logistics LLC, a limited liability company licensed by Dubai Economic Department (DED) and its subsidiaries and affiliated companies, if any.

WENS AS AGENT: WENS acts as the "agent" of the Customer for the purpose of performing duties in connection with the entry and release of goods, post entry services, the securing of export licenses, the filing of export documentation on behalf of the Customer and other dealings with Government Agencies. As to all other services, WENS acts as an independent contractor.

CUSTOMER means any Person for whom, for whose benefit, or at whose request, WENS directly or indirectly renders services, including all agents, contractors, shippers, importers, exporters, carriers, warehousemen, buyers and/or sellers, consignees and other similar parties.

• AED — The official currency of the UAE (Arab Emirates Dirham).
• DOCUMENTATION — All information whether directly or indirectly received from or provided to the Customer, in paper or electronic form.
• IMDG CODE — International Maritime Dangerous Goods Code.
• MSDS — Material Safety Data Sheet.
• NAFL — National Association of Freight and Logistics, Dubai, UAE.
• TRANSPORT DOCUMENT — A bill of lading, waybill, forwarder's cargo receipt, or other document issued by WENS evidencing receipt of goods for carriage.
• STORAGE DOCUMENT — A warehouse receipt, storage agreement, or other document evidencing receipt of goods for storage, distribution or other handling.
• THIRD PARTY — Each carrier, forwarder, customs broker, agent, warehouseman, and each other Person to whom goods are entrusted for transportation, storage, clearance or other service.

2. WENS's Role §2

WENS operates solely as an independent contractor and not as an agent or legal representative of the Customer, except where expressly acting as a carrier.

Unless otherwise agreed in writing, WENS retains full discretion in determining the means, routes, procedures, and selection of third-party service providers for transportation, storage, customs clearance, and delivery. All such third parties shall be deemed to act on behalf of the Customer.

Any charges imposed by third parties — including airline storage fees, warehouse charges, or destination storage due to delays — shall be the sole responsibility of the Customer, unless expressly included in WENS's quotation.

3. Quotations Not Binding §3

WENS's Quotations are for informational purposes only and must not be considered as an offer of a binding contract. They are subject to change without notice. No quotation binds WENS unless WENS expressly agrees to handle or transport the goods at specific rates and payment terms in writing.

• All rates are exclusive of VAT and applicable taxes unless stated otherwise.
• Dangerous goods, oversize cargo and temperature-sensitive shipments may attract additional charges.
• Quotations are based on information provided by the Client; inaccuracies may result in revised charges.
• Quotations are valid for 7 calendar days from the date of issue unless stated otherwise.

4. Limitation of Liability §4

WENS's liability for loss or damage to cargo is limited to the lower of the actual value or applicable international convention limits (CMR, Warsaw Convention, Hague-Visby Rules). WENS shall not be liable for consequential loss, loss of profit, delay costs or indirect damages under any circumstances.

• Clients are strongly advised to arrange adequate cargo insurance for all shipments.
• WENS can arrange cargo insurance on request — additional charges apply.
• Liability does not apply where loss arises from Client error, inadequate packaging or inherent vice of the cargo.
• No liability arises for delays caused by force majeure, port congestion, weather, strikes or acts of public authorities.

5. Dangerous Goods §5

The Customer bears full responsibility for accurate classification, declaration and packaging of dangerous goods in accordance with IMDG, IATA DGR and ADR regulations. WENS reserves the right to refuse or offload dangerous goods shipments that do not comply with applicable regulations.

• DG shipments must be accompanied by a valid Shipper's Declaration for Dangerous Goods (MSDS / SDS).
• Additional documentation, special packaging and certified handling will be charged accordingly.
• The Customer indemnifies WENS against all fines, penalties and liabilities arising from incorrect DG declarations.

6. Payment Terms §6

Invoices are payable within 30 days of the invoice date unless alternative terms are agreed in writing. WENS reserves the right to apply a lien on cargo in its possession for unpaid charges.

• Late payments attract interest at the applicable UAE commercial rate from the due date.
• New clients may be required to provide advance payment or a bank guarantee.
• Disputed invoices must be raised in writing within 7 days of receipt; undisputed portions remain payable.

7. Claims Procedure §7

Any claim for loss, damage or short delivery must be notified to WENS in writing within 3 days of delivery, or within 14 days for concealed damage. Claims must include supporting documentation including delivery receipts, photographs and packing lists.

• No claim will be accepted against consignments signed for as received in good order without notation.
• WENS will investigate and respond to all claims within 30 business days.

8. Governing Law & Jurisdiction §8

These conditions are governed by the laws of the United Arab Emirates. Any dispute arising from services provided by WENS shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise agreed in writing between the parties.
